This End User License Agreement ("Agreement") is a binding contract between you ("Licensee," "you," or "your") and Versifai, Inc. ("Versifai," "we," "us," or "our") governing your access to and use of data products, datasets, analytical outputs, notebooks, and related materials (collectively, the "Data Products") made available through the Databricks Marketplace or any other authorized distribution channel.
By accessing, downloading, subscribing to, or using any Data Product, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are accepting this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to these terms, do not access or use the Data Products.
1.1 "Data Products" means the datasets, derived tables, analytical outputs, composite indices, risk scores, statistical models, visualizations, documentation, sample notebooks, and any associated metadata provided by Versifai, whether delivered via Databricks Delta Sharing, direct download, API, or any other mechanism.
1.2 "Derived Data" means data that has been created through Versifai's proprietary processes of transformation, aggregation, statistical modeling, enrichment, composite index construction, and analytical methodology applied to publicly available source data. Derived Data includes but is not limited to: composite indices (such as polychronic burden indices, exit risk scores, or lift-adjusted ratings), enrollment-weighted geographic profiles, cross-dataset linkages, projected or simulated values, and any analytical output that reflects Versifai's proprietary methodology.
1.3 "Source Data" means the publicly available government datasets from which certain Data Products are derived, including but not limited to data published by the Centers for Medicare & Medicaid Services (CMS), the Centers for Disease Control and Prevention (CDC), the U.S. Census Bureau, the Health Resources and Services Administration (HRSA), and the U.S. Department of Agriculture (USDA). Nothing in this Agreement restricts your right to independently access Source Data from its original government publishers.
1.4 "Subscription Term" means the period during which you are authorized to access and use the Data Products, as specified in your order, subscription agreement, or Databricks Marketplace transaction.
1.5 "Internal Business Use" means use of the Data Products solely within your organization for your own business analysis, decision-making, and operations.
2.1 Limited License. Subject to the terms of this Agreement and payment of all applicable fees, Versifai grants you a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Data Products during the Subscription Term solely for Internal Business Use.
2.2 Permitted Uses. You may:
(a) Access, query, and analyze the Data Products within your Databricks environment or other authorized analytical platform;
(b) Create internal reports, dashboards, presentations, and analyses that incorporate insights, statistics, or findings derived from the Data Products;
(c) Use the Data Products to inform internal business decisions, strategic planning, competitive analysis, quality improvement, regulatory submissions, and operational activities;
(d) Share reports and analyses derived from the Data Products internally within your organization, provided such reports do not contain or expose the underlying Data Products in raw or substantially complete form.
2.3 Citation in Publications. If you publish research, white papers, or external reports that reference findings from the Data Products, you must attribute Versifai as the data source (e.g., "Source: Versifai Medicare Advantage Competitive Intelligence"). Such published materials may include summary statistics, aggregated findings, and analytical conclusions but may not reproduce the Data Products in raw or substantially complete form.
3.1 Prohibited Uses. You may NOT:
(a) Redistribute or Resell. Redistribute, resell, sublicense, rent, lease, or otherwise make the Data Products available to any third party, whether in original, modified, or derivative form, through any channel including but not limited to data marketplaces, APIs, data feeds, or file sharing;
(b) Create Competing Products. Use the Data Products to create, develop, train, or improve any product or service that competes with Versifai's Data Products or that is intended for commercial distribution to third parties as a data product;
(c) Reverse Engineer Methodology. Reverse engineer, decompile, or systematically extract Versifai's proprietary analytical methodologies, composite index construction logic, statistical model specifications, or transformation pipelines from the Data Products;
(d) Reidentify Individuals. Attempt to identify, contact, or reidentify any individual person from the Data Products, whether alone or in combination with other data sources. The Data Products contain aggregated and geographic-level data only and are not intended to contain individually identifiable information;
(e) Circumvent Access Controls. Circumvent, disable, or interfere with any access controls, usage tracking, or digital rights management associated with the Data Products;
(f) Exceed Scope. Use the Data Products for any purpose beyond Internal Business Use, including but not limited to marketing the Data Products as your own, incorporating raw Data Products into products sold to your customers, or providing the Data Products as a managed service;
(g) Misrepresent Source. Represent the Data Products as your original work product or claim ownership of the Derived Data, composite indices, or analytical methodologies.
3.2 No Scraping or Bulk Extraction. You may not programmatically extract, scrape, or bulk-download the Data Products for the purpose of recreating, replicating, or substituting for Versifai's Data Products outside of your authorized analytical environment.
4.1 Versifai Ownership. Versifai retains all right, title, and interest in and to the Data Products, including all Derived Data, composite indices, analytical methodologies, statistical models, transformation logic, documentation, and any other intellectual property embodied therein. This Agreement does not transfer any ownership rights to you.
4.2 Proprietary Methodology. You acknowledge that the value of the Data Products lies substantially in Versifai's proprietary methodology for transforming, enriching, linking, and analyzing publicly available Source Data. The specific methods of aggregation, weighting, composite index construction, statistical modeling, risk scoring, and cross-dataset linkage constitute Versifai's trade secrets and confidential information.
4.3 Source Data. Nothing in this Agreement restricts your right to independently access, download, and use Source Data from its original government publishers for any lawful purpose. Versifai does not claim ownership of Source Data in its original published form.
4.4 Your Work Product. You retain all right, title, and interest in any original reports, analyses, presentations, and business decisions you create using insights from the Data Products, provided such work product does not contain or expose the Data Products in raw or substantially complete form.
4.5 Feedback. If you provide suggestions, ideas, or feedback regarding the Data Products, you grant Versifai a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.
5.1 Derived Analytical Product. The Data Products are derived analytical products based on publicly available government data sources. They reflect Versifai's analytical interpretation and transformation of such data. While Versifai makes reasonable efforts to ensure accuracy, the Data Products may contain errors, omissions, or inaccuracies inherent in the source data or introduced through the transformation process.
5.2 Not Legal, Medical, or Financial Advice. The Data Products are provided for informational and analytical purposes only. They do not constitute legal, medical, regulatory, financial, or investment advice. You are solely responsible for any business decisions made using the Data Products and should consult qualified professionals as appropriate.
5.3 Government Data Dependency. The Data Products depend on the continued availability and accuracy of Source Data published by government agencies. Versifai is not responsible for changes, discontinuations, errors, or delays in the publication of Source Data by government agencies.
5.4 Projections and Simulations. Certain Data Products may include projected, simulated, or modeled values (such as projected cut points, exit risk scores, or lift-adjusted ratings). These are analytical estimates based on stated assumptions and historical patterns. They are not predictions or guarantees of future outcomes.
5.5 AS-IS WARRANTY. THE DATA PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERSIFAI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, NON-INFRINGEMENT, AND QUIET ENJOYMENT. VERSIFAI DOES NOT WARRANT THAT THE DATA PRODUCTS WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
6.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERSIFAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF VERSIFAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
6.2 Cap on Liability. VERSIFAI'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO VERSIFAI FOR THE DATA PRODUCTS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
6.3 Basis of the Bargain. The limitations and exclusions in this Section 6 reflect the allocation of risk between the parties and are an essential element of the basis of the bargain between the parties. Versifai would not provide the Data Products without these limitations.
7.1 Term. This Agreement is effective upon your first access to or use of the Data Products and continues for the duration of the Subscription Term, unless earlier terminated as provided herein.
7.2 Termination for Breach. Versifai may terminate this Agreement immediately upon written notice if you breach any material term, including but not limited to the restrictions in Section 3. For non-material breaches, Versifai will provide thirty (30) days' written notice and opportunity to cure.
7.3 Termination for Convenience. Either party may terminate this Agreement for convenience upon thirty (30) days' written notice to the other party. You may also terminate by discontinuing all use of the Data Products.
7.4 Effect of Termination. Upon termination: (a) your license to access and use the Data Products immediately ceases; (b) you must promptly delete or destroy all copies of the Data Products in your possession or control, including any cached, downloaded, or stored copies; (c) Sections 3, 4, 5, 6, 8, 9, and 10 survive termination.
7.5 No Refunds. Unless otherwise specified in your subscription agreement, fees paid are non-refundable upon termination except where required by applicable law.
8.1 Confidential Information. The Data Products, including Versifai's proprietary methodologies, composite index construction, model specifications, and any non-public information disclosed by Versifai, constitute confidential information. You agree to protect such confidential information using at least the same degree of care you use to protect your own confidential information, but in no event less than reasonable care.
8.2 Exclusions. Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of yours; (b) was rightfully in your possession before receipt from Versifai; (c) is rightfully obtained from a third party without restriction; or (d) is independently developed without use of or reference to Versifai's confidential information.
9.1 By Licensee. You agree to indemnify, defend, and hold harmless Versifai and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Data Products in violation of this Agreement; (b) your breach of any representation or warranty herein; or (c) your negligence or willful misconduct.
10.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of laws principles. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Hamilton County, Tennessee, and you consent to the personal jurisdiction of such courts.
10.2 Entire Agreement. This Agreement, together with any applicable order form or subscription agreement, constitutes the entire agreement between the parties regarding the Data Products and supersedes all prior or contemporaneous agreements, negotiations, and communications, whether written or oral.
10.3 Amendments. Versifai may update this Agreement from time to time. Material changes will be communicated with at least thirty (30) days' notice. Continued use of the Data Products after such notice constitutes acceptance of the updated terms.
10.4 Severability. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
10.5 Assignment. You may not assign or transfer this Agreement or any rights hereunder without Versifai's prior written consent. Versifai may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.
10.6 Waiver. The failure of either party to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
10.7 Force Majeure. Neither party shall be liable for any failure to perform due to causes beyond its reasonable control, including but not limited to government actions, natural disasters, pandemics, or interruption of government data publication.
10.8 Notices. All notices under this Agreement shall be sent to the contact information provided in the applicable order form or subscription agreement, or to jason.weinberg@versifai.org for notices to Versifai.
BY ACCESSING OR USING THE DATA PRODUCTS, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.

The underlying source data includes publicly available datasets published by the Centers for Medicare & Medicaid Services (CMS), the Centers for Disease Control and Prevention (CDC), the U.S. Census Bureau, and other federal agencies. All data is aggregated at the county, contract, or organization level. No individual beneficiary, patient, or enrollee data is collected, stored, processed, or distributed by Versifai.
Versifai does not collect, process, or distribute protected health information (PHI) as defined under the Health Insurance Portability and Accountability Act of 1996 (HIPAA). Our Data Products are derived exclusively from publicly available, de-identified, aggregated data sources. Versifai is not a covered entity or business associate under HIPAA.
Where CMS source data applies small cell suppression (masking values based on fewer than 11 individuals), Versifai preserves such suppression. We do not attempt to reconstruct, estimate, or infer suppressed values for the purpose of identifying individuals.
